Yes it will be okay but there are some changes you could make to get better options and performance for your money.
Personally I would switch to a Core 2 Quad Q6600 since it is about the same price as the E8400. True in games that only use 2 cores it will be somewhat faster, but the Q6600 will tear up the E8400 in games that are optimized for Quad core. Thinking about it, the games that are optimized for Quads are the new games, which need that extra CPU power, and the games that aren't optimized for Quad are the old games that don't. Also, in 2 threaded games, 2 cores can be totally dedicated to the game, while the other two handle the other windows operations and such, narrowing the gap. I think the Quad is a much better, more futureproof option, just like the early dual cores were back in the Athlon64/P4 days. Also I think quads are better for SLI/CF
I would switch to an SLI motherboard like this 680i SLI for $100 with creative sound. Instead of spending $100 for a second SLI tooth on your 8800GTS, (Oh wait, that's called a 9800GTX) I would suggest you do 8800GTS 512mb SLI if you have the money, or 9600GT SLI if you don't. Either option will beat the **** out of a single 9800GTX. The 9600GT's will be cheaper too. And again, if you think about what games don't have SLI support, it's the old ones which one 9600GT will tear through on its own.
